Electronic Declaratory Registration (RDE, for Registro Declaratório Eletrônico):

It is a computerized system available via the Central Bank of Brazil and organized into four modules.

  • Direct Foreign Investments (RDE-IED);
  • Financial Transactions (RDE-ROF);
  • Portfolio Investments (PORTFÓLIO); and
  • Brazilian Capitals Abroad (CBE).

Using the RDE, the registration of transactions involving foreign capitals in the country and Brazilian capitals abroad can be made directly in the systems of the Central Bank of Brazil.

ELECTRONIC DECLARATORY REGISTRATION – DIRECT FOREIGN INVESTMENT (RDE-IED)

The RDE-IED allows the registration of Direct Foreign Investment in Brazilian businesses. Direct foreign investment (IED, the acronym in Portuguese) is characterized by the intent to stay and acquisitions outside organized over-the-counter markets and stock exchanges. The registration of IEDs with the Central Bank of Brazil is compulsory under Law no. 4,131, of September 3, 1962.

Electronic Declaratory Registration – Registration of Financial Transactions (RDE-ROF)

In Brazil, individuals and legal entities buy and sell foreign currencies through the Registration of Financial Transactions (ROF, in Portuguese) in the Electronic Declaratory Registration (RDE) system, which is regulated by the Central Bank of Brazil. The following transactions can be registered via ROF:

  • Simple leases, equipment leases, and chartering of ships, for periods in excess of 360 days;
  • Acquisitions of intangible assets for payment over periods in excess of 360 days;
  • Foreign financial leasing for periods in excess of 360 days;
  • Borrowings in national or foreign currency taken either directly or by issuing securities;
  • Imports of goods without hedging for payment of capital stock in companies receiving direct foreign investment;
  • Technology financing;
  • Franchising;
  • Guarantees posted by international organizations;
  • Imports of goods without hedging for payment of capital stock in companies receiving direct foreign investment;
  • Licenses to use, or assignments of, patents;
  • Licenses to use, or assignments of, trademarks;
  • Any such transaction as may require compulsory confirmation by the INPI (National Institute of Industrial Property);
  • Early receipt of exports;
  • Technical assistance services;
  • Complementary technical services and/or expenses incurred in connection with transactions confirmed by the INPI.
